Terms and Conditions

Welcome to Sonic Sanctuary Recording Studios. By accessing our studio facilities, utilizing our equipment, or engaging our services, you agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you ("Client" or "you") and Sonic Sanctuary Recording Studios ("Studio" or "we"). If you do not agree with any part of these Terms, you are prohibited from using our services.

1. Services Provided

Sonic Sanctuary Recording Studios provides professional audio recording, mixing, mastering, and production services. Specific services offered may vary and will be detailed in a separate agreement or invoice provided to the Client prior to commencement of any work. We aim to provide high-quality services; however, we do not guarantee specific outcomes or results.

2. Booking and Payment

All bookings are subject to availability. A deposit, as specified in the invoice or agreement, is required to secure a booking. The remaining balance is due upon completion of the services, unless otherwise agreed in writing. We accept payments via credit card, debit card, and bank transfer. Late payments may incur interest charges at a rate of 1.5% per month, or the maximum rate allowed by law, whichever is lower.

3. Cancellation Policy

Cancellations made more than 72 hours prior to the scheduled session will receive a full refund of the deposit. Cancellations made within 72 hours of the scheduled session will forfeit the deposit. No-shows will be charged the full amount of the scheduled session. We understand that unforeseen circumstances may arise, and we will consider exceptions on a case-by-case basis.

4. Studio Use and Conduct

The Client is responsible for their conduct and the conduct of their guests while on the Studio premises. Any damage to Studio equipment or property caused by the Client or their guests will be the financial responsibility of the Client. The Studio maintains a zero-tolerance policy for illegal activities, disruptive behavior, or any conduct that interferes with the operations of the Studio or the enjoyment of other clients. We reserve the right to terminate any session immediately if this policy is violated, without refunding any fees.

5. Intellectual Property

The Client retains ownership of all original material brought into the Studio. However, the Studio retains ownership of all recordings, mixes, and masters created by the Studio until full payment has been received. Upon full payment, the Client will receive a license to use the recordings for commercial or non-commercial purposes, subject to any pre-existing agreements with third parties (e.g., publishing contracts, sample clearances). The Client is solely responsible for obtaining all necessary licenses and permissions for any copyrighted material used in their recordings.

6. Copyright and Ownership

Sonic Sanctuary Recording Studios acknowledges and respects the intellectual property rights of all artists and clients. As a client, you retain full copyright and ownership of your original musical compositions, lyrics, and other creative content that you bring into the studio. However, it's important to note that the master recordings created during your sessions may have shared ownership rights depending on the contributions of the studio and its personnel. For example, if Sonic Sanctuary's engineers or producers contribute significantly to the arrangement, instrumentation, or overall sonic landscape of your project, they may be entitled to a percentage of the master recording royalties. These details will be explicitly outlined in the recording agreement that you sign before commencing any work at the studio. We encourage open communication and transparent negotiations regarding copyright and ownership to ensure that everyone involved is fairly compensated for their contributions. In cases where third-party samples or copyrighted material are used in your recordings, it is your sole responsibility to secure the necessary licenses and permissions from the copyright holders. Failure to obtain these clearances could result in legal action from the copyright owners. Sonic Sanctuary Recording Studios is not responsible for any copyright infringement claims arising from the use of uncleared samples or copyrighted material in your recordings. We strongly recommend consulting with a music attorney to navigate the complexities of copyright law and ensure that your music is properly protected.

7. Liability

The Studio is not liable for any loss, damage, or injury to the Client or their guests while on the Studio premises, except to the extent caused by the Studio's gross negligence or willful misconduct. The Client is responsible for insuring their own equipment and personal belongings while on the Studio premises. We recommend that Clients maintain adequate insurance coverage to protect against potential losses. This limitation of liability extends to all services provided by the Studio, including recording, mixing, mastering, and production services.

8. Confidentiality

The Studio will maintain the confidentiality of all Client information and recordings, except as required by law. We will not disclose any Client information to third parties without the Client's express consent. We understand the importance of protecting your creative work and will take all reasonable measures to ensure its confidentiality. All Studio employees and contractors are bound by confidentiality agreements.

9. Dispute Resolution

Any disputes arising out of or relating to these Terms or the services provided by the Studio will be resolved through good faith negotiation. If a resolution cannot be reached through negotiation, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Nashville, Tennessee. The decision of the arbitrator will be final and binding on both parties.

10. Termination

The Studio may terminate these Terms and any services provided to the Client immediately if the Client breaches any of these Terms. The Client may terminate these Terms by providing written notice to the Studio. Upon termination, the Client will be responsible for paying for all services rendered up to the date of termination.

11. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.

12. Amendments

The Studio may amend these Terms at any time by posting the amended Terms on its website. The amended Terms will be effective immediately upon posting. The Client's continued use of the Studio's services after the posting of amended Terms constitutes acceptance of the amended Terms.

13. Delivery of Final Masters

Sonic Sanctuary Recording Studios commits to delivering the final mastered tracks to the client in the agreed-upon format and within the agreed-upon timeframe. This timeframe will be documented in the initial project agreement. The studio will provide the client with digital files via secure online transfer (e.g., Dropbox, Google Drive) or, if requested and agreed upon, on a physical medium such as a USB drive or CD (additional charges may apply). The client is responsible for verifying the integrity of the delivered files upon receipt. Any issues regarding file corruption, format incompatibility, or other technical problems must be reported to the studio within 7 days of delivery. The studio will promptly address these issues and provide corrected files. Sonic Sanctuary Recording Studios will maintain a backup copy of the final masters for a period of 30 days following delivery. After this period, the studio is not responsible for the archival of the client's masters. It is strongly recommended that the client create multiple backup copies of the delivered files for long-term storage.

14. Studio Equipment and Maintenance

Sonic Sanctuary Recording Studios takes pride in maintaining a state-of-the-art recording environment. The studio's equipment is regularly inspected, calibrated, and maintained to ensure optimal performance and sonic accuracy. However, due to the complex nature of audio equipment, occasional technical issues may arise. In the event of equipment malfunction during a recording session, the studio will make every reasonable effort to rectify the problem promptly. This may involve troubleshooting the issue, substituting equipment, or rescheduling the session if necessary. The studio is not liable for any financial losses or artistic compromises that may result from equipment malfunction. Clients are encouraged to familiarize themselves with the basic operation of the studio's equipment before commencing a session. The studio's engineers are available to provide guidance and assistance, but clients are ultimately responsible for the safe and proper use of the equipment. Any damage to studio equipment caused by client negligence or misuse will be the financial responsibility of the client.

15. Guest Musicians and Session Players

Sonic Sanctuary Recording Studios can assist clients in sourcing experienced session musicians and vocalists to enhance their recordings. The studio maintains a network of talented professionals across various genres who are available for hire on a per-session basis. The client is responsible for negotiating fees and payment terms directly with the session musicians. Sonic Sanctuary Recording Studios can facilitate introductions and provide logistical support but is not responsible for managing the financial arrangements. The studio recommends that clients obtain written agreements with session musicians outlining the scope of their services, payment terms, and any intellectual property rights related to their contributions. It is the client's responsibility to ensure that all session musicians are properly credited on the final recordings. The studio can provide guidance on standard crediting practices and assist with the preparation of liner notes or digital metadata. While Sonic Sanctuary Recording Studios strives to connect clients with reputable and reliable session musicians, the studio is not liable for any performance issues, scheduling conflicts, or other problems that may arise during the collaboration.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
